Warren Cabral has over 20 years experience of complex cross-border commercial transactions. Able to advise on Bermuda and British Virgin Islands law, Warren is particularly expert in public offerings, corporate finance, and mergers and acquisitions. He also specialises in providing legal advice for transactions related to insurance and reinsurance, structured finance, segregated accounts companies and the capital markets, including public listings on AIM and the London Stock Exchange.

He has advised many of the world’s major banks and financial institutions, as well as industrial groups in the USA, UK, Japan and throughout continental Europe. He regularly advises banks on the financing of Bermuda insurance companies. Recently, he has been strengthening Appleby’s links in Latin America, making regular visits to Brazil.

Warren was named as a Leader in his Field by Chambers UK 2011. Chambers UK 2009 lists Warren as Band 1 for Corporate and Finance (Bermudian Law), and describes him as “vastly experienced”.

Warren undertook his pupillage with Appleby before joining London firm Wilde Sapte for two years. He returned to Appleby in 1989, and became a Partner in 1994.

Warren studied modern languages at McGill University in Montreal, graduating in 1982. He attended Oxford University as a Rhodes Scholar, studying law and graduating in 1985 with honours. Warren became a member of the Middle Temple at the Inns of Court in 1985. He was called to the Bar of England and Wales in 1986, the Bermuda Bar in 1987, and the Bar of the British Virgin Islands in 2005.

Warren is a frequent author and speaker. Current speaking engagements include a speech to the Association of Brazilian Risk Managers (ABGR) in Sao Paulo on the subject of the Global Review of Offshore Jurisdictions.

Warren speaks French, Portuguese, and some Italian and German.

Some recent examples of work include:

• Advising Hewlett-Packard International Sarl on the international reorganisation of the HP group, involving 70 jurisdictions and requiring Bermuda and Cayman law advice, particularly in relation to partnership law and regulatory matters.

• Advising Alliance Group, a Russian company, on the mechanics of acquiring a Bermuda company listed on the Stockholm Exchange. The matter was significant because it involved a complicated merger structure and use of Swedish Depository Receipts.

• Advising Lloyds TSB in relation to the acquisition and restructuring of a group of insurance companies. This was a landmark acquisition of a listed Bermuda insurance holding company involving substantive advice on amalgamation, reorganisation and refinancing.

• Advising Standard Bank Plc on a €40 million secured facility provided to a British Virgin Islands holding company of a South African company, active in the production of and international trade in ferrochrome and chrome ore.

• Advising a management services firm on the formation of three British Virgin Islands companies and the drafting of certain security and other agreements under British Virgin Islands law.

• Advising a Middle Eastern client on a series of international real estate investment and development structures involving British Virgin Islands and Cayman companies. The matter was significant because it involved complex due diligence and close involvement in the drafting of investor materials.

• Advising one of the world’s leading asset management firms on regulatory and legal issues connected with the acquisition of shares in Bermudian subsidiaries of a US manufacturing company, including reviewing sale agreements and advising on any Bermuda law issues arising.
